Terms & Conditions

By engaging NivasLabs' services or making a payment, you ("the Client") agree to be bound by the following terms and conditions. Please read them carefully before proceeding.

1. Definitions

• "NivasLabs" refers to the web design business operated from Bangalore, Karnataka, India.
• "Client" refers to the hotel owner or authorised representative engaging NivasLabs' services.
• "Website" refers to the static HTML showcase website built by NivasLabs for the Client's hotel.
• "Services" refers to the design, development, deployment, and ongoing hosting of the Website.
• "Content" refers to all photos, text, logos, and other materials provided by the Client.

2. Acceptance of Terms

• Payment of the website development fee (currently ₹1999) constitutes full acceptance of these terms and conditions.
• Confirmation of the project via WhatsApp message is treated as a binding agreement.
• The Client acknowledges that they have read, understood, and agreed to these terms prior to making payment.

3. Services Provided

NivasLabs provides a single service: the design and development of a static HTML showcase website for hotels. Each website includes:

• Custom-designed homepage
• Individual room and suite pages
• Full photo gallery
• Direct WhatsApp booking button
• Google Maps integration
• Amenities showcase section
• Mobile-optimised responsive design

The following are not included in the standard package:

• Online booking engine or reservation system
• Payment gateway integration
• Content management system (CMS)
• Ongoing content updates (available as a separate service)

4. Payment Terms

• Website development fee: ₹1999 (one-time payment).
• Domain and hosting fee: ₹999 per year (payable in advance).
• A free mockup is provided before any payment is required.
• All payments are non-refundable once website development work has begun.
• The annual domain and hosting fee must be paid at least 7 days before the renewal date to ensure uninterrupted service.
• Non-payment of the annual hosting fee will result in the website being taken offline.

5. Client Responsibilities

• The Client must provide all required content — including hotel photos, room descriptions, amenity details, pricing, and contact information — via WhatsApp.
• Content must be provided within 14 days of mockup approval.
• The Client is solely responsible for the accuracy, legality, and completeness of all content provided.
• Failure to provide content within 30 days of mockup approval entitles NivasLabs to close the project. No refund will be issued in such cases.

6. Delivery Timeline

• NivasLabs delivers completed websites within 10 working days from the date all required content is received.
• The delivery timeline is paused if the Client has not provided the required content.
• The website is deemed accepted if the Client does not raise issues within 7 days of delivery.
• Projects with no client communication for 30 or more days will be considered complete and closed.

7. Revisions

• Two (2) rounds of revisions are included after the initial mockup at no additional cost.
• A "revision" includes changes to layout, colours, fonts, or content placement within the existing scope.
• Requests that change the fundamental scope (e.g., adding new pages, new features) are treated as new work and quoted separately.
• Additional revisions beyond the included two rounds are charged at a per-revision fee and are up to NivasLabs' discretion.
• Changes requested after the website has gone live are charged separately.

8. Intellectual Property

• All content provided by the Client (photos, text, logos) remains the intellectual property of the Client.
• The HTML, CSS, JavaScript code and visual design created by NivasLabs remains the intellectual property of NivasLabs.
• Upon full payment, the Client receives a non-exclusive, non-transferable licence to use the website design for their hotel.
• The Client may not resell, redistribute, or repurpose the website code or design for other properties or businesses.
• NivasLabs retains the right to reuse design patterns, templates, and code structures across other client projects.

9. Domain & Hosting

• NivasLabs registers and manages the domain name and hosting on the Client's behalf.
• The domain is registered under NivasLabs' registrar account.
• The Client does not receive direct access to the domain control panel or hosting dashboard.
• Non-payment of the annual ₹999 hosting and domain fee will result in the website being taken offline and may result in the loss of the domain name.
• Domain transfer or release to the Client is available only after all outstanding dues are cleared.
• NivasLabs is not liable for downtime caused by third-party hosting or infrastructure providers.
• Upon termination of services, website files and data will be deleted after 30 days.

10. Design Credit & Portfolio

• All websites built by NivasLabs include a mandatory "Designed by NivasLabs" credit in the website footer. This credit may not be removed.
• NivasLabs reserves the right to showcase all completed websites in its portfolio, marketing materials, and social media channels.

11. Browser Compatibility

• Websites are tested on the current versions of Google Chrome, Apple Safari, Mozilla Firefox, and Microsoft Edge on both desktop and mobile devices.
• NivasLabs does not guarantee compatibility with outdated or discontinued browsers.

12. Warranty

• NivasLabs provides a 30-day warranty from the date the website goes live.
• This warranty covers bugs, broken links, and display issues that are the result of NivasLabs' work.
• The warranty does not cover issues arising from client-requested changes, third-party services, or content provided by the Client.

13. Limitation of Liability

• NivasLabs' total liability is limited to the total amount paid by the Client (development fee + any hosting fees paid).
• NivasLabs is not liable for any indirect, incidental, or consequential damages including but not limited to: loss of hotel bookings, loss of revenue, loss of business opportunities, or loss of data.
• NivasLabs is not liable for the accuracy of content provided by the Client and displayed on the website.
• NivasLabs is not liable for outages or issues caused by third-party hosting, domain registrar, or CDN providers.

14. Indemnification

The Client agrees to indemnify and hold NivasLabs harmless from any and all claims, damages, losses, and expenses arising from:

• Copyright infringement or intellectual property violations in content provided by the Client.
• Inaccuracy of hotel information displayed on the website.
• Any legal claims from third parties related to the Client's business or the content on the website.

15. Confidentiality

• NivasLabs will not share the Client's business information, pricing details, or provided content with competitors or unauthorised third parties.
• The Client agrees not to share NivasLabs' proprietary processes, pricing structure, or internal communications with third parties.

16. Termination

• The Client may terminate the engagement at any time. No refund of the one-time development fee will be issued.
• Hosting and domain services will terminate at the end of the current paid period if not renewed.
• NivasLabs may terminate services if the Client uses the website for illegal, offensive, or objectionable content.
• Upon termination, the website will be taken offline. All website files and data will be permanently deleted 30 days after termination.
• Domain transfer to the Client is available only after all outstanding dues are cleared.

17. Third-Party Services

NivasLabs uses third-party services for hosting, domain registration, and content delivery. NivasLabs is not responsible for:

• Downtime or outages of hosting providers.
• Domain registrar issues or delays in domain propagation.
• Disruptions to embedded services such as Google Maps or WhatsApp links.
• SSL certificate renewal issues managed by third-party providers.

18. Force Majeure

Neither party shall be held liable for delays or failure to perform obligations caused by events beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, pandemics, wars, or civil unrest.

19. Communication

• All project communication will take place via WhatsApp unless otherwise agreed.
• NivasLabs is not responsible for project delays caused by client non-responsiveness.

20. Governing Law

• These terms are governed by the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000.
• Any disputes shall fall under the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.
• Both parties agree to attempt resolution through mediation before pursuing legal action.

21. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These terms and conditions constitute the entire agreement between NivasLabs and the Client regarding the services described. No verbal agreements, representations, or promises made outside of these terms shall be binding.
